PART A — KEY BOOKING INFORMATION
1. Payment
1.1 Group bookings and activity bookings
Unless we agree otherwise in writing:
Where a booking is made less than six weeks before the start date, the full booking price is payable at confirmation.
1.2 Equipment hire
Unless we agree otherwise in writing, the full equipment hire price is payable when the hire booking is confirmed.
1.3 Payment methods
We accept the payment methods notified by us at the time of booking. These may include debit or credit card, bank transfer, cheque and cash payments made in person at our premises.
Cheques, where accepted, must be payable to Grange Yard Ltd. Bank transfer details will be provided on request. Receipts will be provided for payments received.
Prices are quoted inclusive or exclusive of VAT as indicated in the applicable quotation or booking confirmation. VAT will be charged where applicable.
2. Cancellation charges
The following cancellation schedule is our standard policy, subject to applicable law and the provisions of Part B.
For group bookings, the initial 25% deposit is intended to cover the initial commitment and costs associated with securing the booking. If a cancellation charge is disputed, its enforceability will depend on the contract, the circumstances and applicable law.
All cancellations must be notified in accordance with clause 7.
3. Insurance
We maintain Public and Products Liability insurance with a stated indemnity limit of £10 million, subject to the terms, conditions and exclusions of our insurance policy.
This insurance does not mean that every participant is personally insured against injury, personal property loss, equipment damage or booking cancellation.
We recommend that customers consider appropriate personal accident, personal property, equipment damage and booking cancellation insurance. Customers should check the cover, exclusions and excesses applicable to their own circumstances.
PART B — FULL TERMS AND CONDITIONS
4. Definitions and scope
In these Terms:
These Terms apply to consumer and business bookings. Where the client is a consumer, mandatory consumer rights apply notwithstanding anything in these Terms. Where a separate written agreement is agreed with a business or group client, that agreement will take precedence to the extent that it expressly varies these Terms.
5. Booking requests and confirmation
5.1 A
booking request may be made verbally, in writing, by telephone, by email or
through an online booking system.
5.2 All bookings are subject to availability and our acceptance. A request or
provisional reservation does not guarantee a booking until we have confirmed
acceptance.
5.3 A booking is confirmed when we have communicated our acceptance and the
required deposit or payment has been made, unless we expressly agree otherwise
in writing.
5.4 Before confirming, the client must provide accurate information relevant to
the booking, including the date, duration, number of participants, equipment
required, participant ages where relevant and any information reasonably
required to plan the activity safely.
5.5 Where a booking is made by a Lead Booker on behalf of other participants,
the Lead Booker confirms that they are authorised to make the booking and agree
to these Terms on behalf of the client. The Lead Booker must ensure that the
relevant booking information and safety requirements are communicated to
participants.
5.6 A Lead Booker does not automatically become personally liable for every
participant's conduct or every loss arising during a booking merely by making
the reservation. Any separate payment guarantee or assumption of financial
responsibility must be expressly agreed.
5.7 We may decline a booking where equipment, staffing, facilities or other
necessary resources are unavailable, or where we reasonably consider that the
booking cannot be carried out safely or lawfully.
6. Prices, payments and additional charges
6.1 Prices
are based on our current fees schedule or the quotation provided for the
booking. A quotation will state the services and equipment included, the
booking price and any relevant additional charges.
6.2 For group and activity bookings, the payment schedule in clause 1.1
applies. For equipment-only hire, the payment schedule in clause 1.2 applies,
unless otherwise agreed.
6.3 Where a booking is made less than six weeks before the booking date, the
full agreed price is payable on confirmation.
6.4 Any additional service, equipment or change that carries an additional
charge must be agreed with the client before the charge is incurred, except for
reasonable charges for loss, damage, late return or other liabilities expressly
provided for in these Terms.
6.5 If a payment is overdue, we may give written notice requesting payment by a
specified date. Subject to applicable law and the terms of the booking, we may
suspend or cancel services where payment remains outstanding after reasonable
notice.
6.6 Any cancellation or amendment charge must be calculated in accordance with
these Terms and applicable law. We will not recover the same loss twice.
6.7 If we agree a payment plan or different payment arrangements in writing,
those arrangements will apply to the relevant booking.
7. Client cancellations
7.1 The
client may request cancellation of all or part of a booking by notifying us in
writing by email or another written method we have specified. We may
acknowledge an urgent verbal notification, but the client should obtain written
confirmation of the cancellation.
7.2 The effective cancellation date is the date on which we receive the written
cancellation request.
7.3 Subject to applicable law and the circumstances of the booking, our
standard cancellation charges are:
7.4 Where a
deposit has already been paid, it will be credited against the applicable
cancellation charge. Any additional amount due will be calculated accordingly,
and any refund due will be paid in accordance with applicable law.
7.5 Cancellation charges are intended to reflect our commitments, costs and
losses associated with the booking. Where applicable law requires a different
result, including where a charge would be unfair or unenforceable, that law
will prevail.
7.6 A cancellation of only part of a group, a reduction in participant numbers,
or the removal of equipment or services from a booking may be treated as a
partial cancellation. We will explain any applicable adjustment or charge by
reference to the affected part of the booking and the circumstances.
7.7 The client remains responsible for amounts properly payable under the
booking following cancellation, subject to these Terms and applicable law.
7.8 Customers booking online or away from our business premises may have
statutory cancellation rights in certain circumstances. These rights depend on
the type of contract and any applicable statutory exceptions, including
exceptions that may apply to certain leisure services booked for a specific
date or period. Nothing in this clause removes any right that cannot lawfully
be excluded.
8. Client amendments and changes to bookings
8.1
Requests to amend a booking must be submitted in writing. All amendments are
subject to availability and our written acceptance.
8.2 Amendments may include changes to participant numbers, equipment
quantities, activity arrangements, duration or other booking details.
8.3 A change to the date or time of a booking is not automatic. It may be
treated as an amendment, a cancellation followed by a new booking, or another
arrangement agreed in writing, depending on the circumstances.
8.4 We may charge a reasonable administration fee and any reasonable, evidenced
additional costs directly arising from an agreed amendment. Any fee will be
disclosed before the amendment is confirmed.
8.5 For planning purposes, our standard maximum administration-fee bands for
amendments requested by the client are:
These
percentages are maximum guide limits, not automatic charges. Any fee must be
reasonable in the circumstances, proportionate to the work and costs involved,
and lawful. The fee will be calculated against the affected part of the booking
rather than automatically against the entire booking where that would be
disproportionate.
8.6 An amendment does not automatically remove or replace other payment
obligations or cancellation charges. We will confirm any revised price,
schedule or terms in writing.
8.7 If a requested amendment cannot be accommodated, the existing booking
remains in place unless the client cancels it under clause 7 or we agree
otherwise.
9. Changes or cancellation by us
9.1 We will
make reasonable efforts to provide the booking as agreed.
9.2 We may amend, postpone, suspend or cancel a booking where reasonably
necessary, including where:
9.3 We will
notify the client as soon as reasonably practicable. We may initially give
notice by telephone or another urgent method, but we will provide written
confirmation as soon as reasonably practicable.
9.4 Where possible, we will offer a suitable alternative, revised arrangement
or rescheduled date. No alternative or rescheduling will be imposed without
appropriate agreement where agreement is required.
9.5 If we cancel a booking or are unable to supply the agreed service, we will
provide any refund, price reduction or other remedy required by the contract
and applicable law. Where appropriate, we may offer an alternative or
rescheduled booking by agreement.
9.6 Where only part of a booking is affected, any adjustment will relate to the
affected part where reasonably practicable and consistent with the contract and
applicable law.
9.7 We will not charge the client a cancellation or amendment fee merely
because we decide to cancel or change a booking for operational or safety
reasons.
10. Weather, operating restrictions and force majeure
10.1
Outdoor activities are affected by weather, terrain, water conditions and other
changing factors. Safety decisions will be based on the conditions relevant to
the particular activity, equipment, location and participants.
10.2 A Met Office weather warning, including a Yellow warning or above, will be
considered as part of our risk assessment. A warning does not automatically
mean that every activity will be cancelled, nor does the absence of a warning
guarantee safe conditions.
10.3 We may impose additional restrictions or cancel an activity where
conditions are, or are reasonably expected to become, unsafe. Such decisions
may include restrictions relating to wind, rain, snow, ice, lightning,
visibility, temperature, water conditions or site access.
10.4 Participants must comply with safety instructions, closures and reasonable
directions issued by our staff, guides, site operators or relevant authorities.
10.5 Neither party will be treated as in breach merely because performance is
prevented by an event beyond its reasonable control, to the extent permitted by
law. Examples may include severe weather, fire, flood, public emergency,
government restrictions, site closure or serious infrastructure failure.
10.6 Force majeure does not automatically remove a customer's right to a refund
or other remedy where that right arises under applicable law or the contract.
10.7 Where performance is prevented, we will communicate with the client and
discuss reasonable alternatives. Any financial adjustment will be determined
under the booking terms and applicable law.
11. Equipment hire and the hire period
11.1
Equipment may be hired only after completion of the applicable booking or hire
agreement and acceptance of these Terms.
11.2 The hire period begins at the agreed collection or delivery time and ends
when the equipment has been returned to, and accepted by, us at the agreed
place and time, subject to any different written arrangement.
11.3 All equipment remains our property. Hire does not transfer ownership to
the client or participant.
11.4 Equipment must be used only for its intended purpose, in accordance with
our instructions, manufacturer guidance and any restrictions communicated at
handover.
11.5 We may require a valid payment card, security pre-authorisation, deposit
or other reasonable security before releasing equipment. The amount and terms
of any such security will be communicated before the hire begins.
11.6 Customers must inspect equipment at handover and report any visible
defect, damage or missing accessory before departure. This does not remove our
legal responsibilities for the safety or quality of equipment.
11.7 We may refuse to release, or require the immediate return of, equipment
where there is a reasonable safety concern, misuse, breach of these Terms or
another material reason affecting safe use.
11.8 Equipment must not be sold, lent, sub-hired, pledged, disposed of or
transferred to another person without our prior written consent.
12. Care, loss, damage and return of equipment
12.1 The
client is responsible for taking reasonable care of hired equipment and
ensuring that participants use it properly.
12.2 Normal wear and tear arising from reasonable use is accepted. The client
is not responsible for normal wear and tear or for damage for which the client
is not legally or contractually responsible.
12.3 The client may be responsible for reasonable repair or replacement costs
where equipment is lost, stolen or damaged as a result of the client's or
participant's breach of these Terms, negligence, misuse or other conduct for
which the client is legally responsible.
12.4 Any charge will be based on reasonable and evidenced costs. Where repair
is appropriate, we will generally charge the reasonable repair cost. Where
repair is not appropriate, a reasonable equivalent replacement cost may be
charged, taking account of the equipment's age, condition and pre-hire value.
We will not impose an automatic new-for-old charge where that would
overcompensate us.
12.5 The client must notify us as soon as reasonably practicable of any
accident, defect, damage, loss or theft involving hired equipment. In the event
of theft, the client may be required to provide a crime reference number or
other reasonable supporting information where available and appropriate.
12.6 We may request payment for reasonable and evidenced costs for which the
client is liable. We will provide an explanation of the charge and supporting
information on request.
12.7 Late return of equipment may result in an additional charge. Unless
otherwise agreed, the standard late-return rate is twice the published daily
hire rate for each day or part-day of delay, subject to applicable law and the
circumstances. We will consider reasonable explanations, including emergencies,
accidents and circumstances outside the client's control.
12.8 The client must not continue using equipment that appears unsafe or
develops a safety-critical defect. The client must stop using it and contact us
as soon as practicable.
12.9 Any security deposit or pre-authorised amount may be applied only to
charges properly due under these Terms and applicable law. Any remaining
deposit will be returned or any pre-authorisation released as soon as
reasonably practicable after the equipment has been checked and the relevant
liabilities established.
12.10 We will not charge for the same loss or damage more than once.
13. Safety, participant responsibilities and suitability
13.1
Adventure activities, cycling and canoeing carry inherent risks. These may
include falls, collisions, changing weather, uneven terrain, immersion,
capsizing, cold water, equipment failure and the actions of other participants
or third parties.
13.2 Participants must take reasonable care for their own safety and the safety
of others, follow instructions and comply with applicable laws, site rules and
activity restrictions.
13.3 Each participant must have the skills, experience, fitness and ability
reasonably appropriate to the activity they undertake. The client must disclose
relevant information requested by us to assess whether an activity is suitable.
13.4 Participants must not take part while impaired by alcohol, illegal drugs,
medication that makes participation unsafe, or fatigue that materially affects
their ability to participate safely.
13.5 Participants must wear and use safety equipment required by us for the
activity, including correctly fitted helmets, buoyancy aids or other protective
equipment where specified.
13.6 Beginners or participants who are unfamiliar with an activity must tell us
before taking part. We may require instruction, a guided session, additional
supervision or a different activity where reasonably necessary for safety.
13.7 We may refuse participation, modify an activity or require a participant
to stop where we reasonably believe their conduct, condition or ability
presents a material safety risk. We will act reasonably and consistently with
applicable law.
13.8 Participants must promptly report accidents, injuries, near misses,
equipment defects or other safety concerns to our staff or guides.
13.9 Nothing in this clause transfers to the participant a legal duty that
remains ours, or excludes liability that cannot lawfully be excluded.
14. Additional requirements for bicycle and e-bike hire
14.1
Participants must use bicycles and e-bikes responsibly, observe relevant
traffic laws and comply with trail, park and access restrictions.
14.2 Before setting off, participants must familiarise themselves with the
equipment and report any apparent safety defect. We will carry out appropriate
checks as part of our equipment management and handover procedures.
14.3 Participants must not modify, dismantle or tamper with safety-critical
parts, braking systems, electrical systems or batteries.
14.4 E-bikes, where offered, must be used only in accordance with the
instructions provided, including any battery, charging, operating and
permitted-area restrictions.
14.5 Participants must secure equipment reasonably when unattended and use any
lock or security equipment supplied in accordance with our instructions.
14.6 Any age, height, size, experience or supervision restrictions communicated
at booking or handover must be observed.
15. Additional requirements for canoe hire and water activities
15.1 Canoes
and associated equipment must be used only on permitted waterways and within
any operating areas, launch points, landing points and time limits communicated
by us.
15.2 Participants must wear correctly fitted buoyancy aids or other personal
flotation equipment where required by our safety instructions.
15.3 Participants must comply with instructions relating to loading, passenger
capacity, paddling, capsizing, water conditions, weather, landing and emergency
procedures.
15.4 Participants must not exceed the stated capacity of a canoe or use
equipment in conditions or locations for which it is not suitable.
15.5 Participants must not enter restricted areas, ignore waterway closures or
continue when instructed to return to shore or stop the activity.
15.6 The client must ensure that all participants receive the required safety
briefing and understand how to seek assistance in an emergency.
15.7 Where conditions become unsafe, participants must follow the instructions
provided and take reasonable steps to reach a safe location.
15.8 We may refuse or suspend a canoe hire where we reasonably consider that
conditions, participant ability, equipment or other circumstances make the
activity unsafe.
16. Children and young participants
16.1
Children and young participants may take part only where the relevant activity,
equipment and booking arrangements permit.
16.2 Any minimum-age, height, ability or supervision requirements communicated
by us must be followed.
16.3 A parent, guardian, school, group organiser or other responsible adult
must ensure that appropriate supervision and consent arrangements are in place
for the participants for whom they are responsible.
16.4 Where we require a parent or guardian's consent, that consent must be
obtained before the child participates.
16.5 Nothing in these Terms makes a parent, guardian or group organiser liable
for a child's conduct beyond the responsibilities lawfully accepted by that
person.
17. Group bookings and lead bookers
17.1 The
client must provide accurate group numbers, participant information and any
required booking details within the timescales agreed with us.
17.2 The Lead Booker must communicate relevant meeting arrangements, payment
requirements, clothing requirements, safety instructions and other booking
information to participants.
17.3 The Lead Booker must notify us promptly of material changes to group
numbers or other arrangements.
17.4 Any agreed minimum group size, minimum charge or special group arrangement
will be recorded in the booking confirmation.
17.5 Where a group booking includes a mixture of activities, hire equipment,
instruction or other services, the booking confirmation will identify the
agreed package and any relevant conditions.
17.6 The client remains responsible for the agreed booking price, subject to
the cancellation and amendment provisions and applicable law.
18. Our services and standard of care
18.1 We
will provide the services described in the booking confirmation with reasonable
care and skill and in accordance with applicable legal obligations.
18.2 We will take reasonable steps to provide suitable equipment and
appropriately arranged activities. Where a guide, instructor, safety briefing
or other service is included in the booking, we will provide it as agreed.
18.3 We may make reasonable operational adjustments where necessary to protect
safety or comply with a legal requirement. Any material change to the agreed
service will be handled in accordance with clause 9 and applicable law.
18.4 We do not guarantee particular weather, trail, water or environmental
conditions, nor can we guarantee that an outdoor activity will proceed exactly
as planned where circumstances beyond our reasonable control intervene.
18.5 Nothing in these Terms excludes our obligation to exercise reasonable care
and skill or any other obligation that cannot lawfully be excluded.
19. Liability and indemnity
19.1
Participants acknowledge that outdoor and adventure activities involve inherent
risks. They are responsible for making reasonable decisions about their
participation, following instructions and using equipment appropriately.
19.2 Nothing in these Terms excludes or restricts liability where such
exclusion or restriction is prohibited by law. This includes liability for
death or personal injury resulting from negligence and any other liability that
cannot lawfully be excluded or restricted.
19.3 Subject to clause 19.2, we are not responsible for loss or damage to the
extent that it is caused by a participant's own negligence, deliberate
misconduct, misuse of equipment or failure to follow reasonable safety
instructions, or by another cause for which we are not legally responsible.
19.4 We are not responsible for the acts or omissions of independent third
parties outside our reasonable control, except to the extent that applicable
law makes us responsible.
19.5 Subject to clauses 19.2 and 19.6, and to the extent permitted by law, our
aggregate liability arising out of a booking will not exceed the Booking Price
paid or payable for the affected booking.
19.6 No liability limit in these Terms applies where doing so would unlawfully
exclude or restrict liability, including for death or personal injury resulting
from negligence. Any limitation of liability in a consumer contract remains
subject to applicable consumer protection and fairness requirements.
19.7 The client is responsible for loss, damage, costs or claims to the extent
they are caused by the client's or participant's breach of these Terms,
negligence, misuse of equipment or other conduct for which the client is
legally responsible.
19.8 Nothing in these Terms requires a client or participant to indemnify us
for our own negligence, unlawful conduct or liability that cannot lawfully be
transferred.
19.9 We do not accept responsibility for personal property that is lost, stolen
or damaged unless we are legally responsible for that loss or damage.
20. Insurance
20.1 We
maintain Public and Products Liability insurance with a stated indemnity limit
of £10 million, subject to the policy wording, exclusions and conditions.
20.2 This insurance is maintained by us for our own business liabilities. It is
not a personal accident or equipment insurance policy for each participant.
20.3 Customers should consider appropriate insurance for personal accident,
personal belongings, equipment damage, loss or theft and booking cancellation,
taking account of the activities and risks involved.
20.4 Unless we expressly confirm otherwise in writing, customers are
responsible for arranging their own personal insurance.
20.5 Any optional insurance or protection product offered by us will be subject
to its separate terms, cover limits, exclusions and conditions.
21. Intellectual property
21.1
Intellectual property owned or developed by us in preparing or delivering a
booking, including our original written materials, activity plans, training
materials, photographs, designs and other original content, remains our
property or that of the relevant rights holder.
21.2 The client and participants may use materials supplied to them for their
intended personal or internal booking-related purpose, subject to any
conditions communicated at the time.
21.3 Materials must not be copied, republished, sold, distributed, adapted for
commercial use or otherwise exploited beyond the permission granted, without
our prior written consent or another lawful basis.
21.4 We may agree to license or permit the use of our materials on terms agreed
in writing.
21.5 Nothing in this clause transfers ownership of intellectual property that
belongs to the client or another third party.
22. Photography, filming and publicity
22.1 We
will seek any required permission or other lawful basis before using
identifiable photographs, video or other personal data of participants for
publicity or marketing.
22.2 Participation in an activity or agreement to these Terms does not, by
itself, constitute consent to marketing use of a person's image where consent
is required.
22.3 Group organisers are responsible for communicating any agreed photography
arrangements to participants, but this does not remove our own data protection
obligations.
23. Personal information and data protection
23.1 We
process personal information in accordance with applicable data protection law,
including the UK GDPR and the Data Protection Act 2018, as amended.
23.2 We use personal information for purposes such as managing bookings,
processing payments, communicating with clients, administering activities,
managing safety and incidents, complying with legal obligations and other
purposes described in our privacy notice.
23.3 Our privacy notice explains what information we collect, why we use it,
how long we retain it, who may receive it and the rights available to
individuals.
23.4 Personal information will be handled in accordance with our applicable
data protection obligations. Payment-card information will be handled through
appropriate payment processes and security arrangements.
23.5 Where we need emergency contact information or information relevant to
safe participation, we will explain the information required and handle it in
accordance with applicable law.
23.6 Marketing communications will be sent only where permitted by applicable
law, and individuals may exercise their rights to object or unsubscribe as
appropriate.
24. Complaints and incidents
24.1 If you
have a concern about a booking, service or item of equipment, please notify a
member of our team as soon as reasonably practicable so that we have an
opportunity to investigate and, where possible, resolve it.
24.2 Accidents, injuries, equipment defects and safety incidents must be
reported promptly to our staff or guides. In an emergency, participants should
contact the emergency services where necessary.
24.3 We may ask for relevant information, photographs, receipts or other
reasonable evidence when investigating a complaint or claim.
24.4 Nothing in this clause prevents a client from exercising a statutory right
or pursuing a lawful remedy.
25. General provisions
25.1 These
Terms, together with the booking confirmation and any additional written
agreement, form the agreement between us for the relevant booking.
25.2 If a booking confirmation expressly varies a provision of these Terms, the
variation will apply to that booking to the extent stated and legally
effective.
25.3 No variation to these Terms will apply to a confirmed booking unless
agreed in writing, except where a change is required by law or is otherwise
legally effective.
25.4 If any provision of these Terms is found to be invalid or unenforceable,
the remaining provisions will continue to apply to the extent permitted by law.
25.5 A failure or delay in exercising a right does not automatically waive that
right.
25.6 Nothing in these Terms confers a right on a third party to enforce any
provision unless that right exists under applicable law.
25.7 Notices relating to cancellations, amendments or other contractual matters
must be given using the contact method specified for the booking. We may use
telephone communication for urgent safety or operational matters, followed by
written confirmation where appropriate.
25.8 We may use reasonable subcontractors or service providers to help deliver
a booking, while remaining responsible for our own obligations under the
contract and applicable law.
26. Governing law and jurisdiction
26.1 These
Terms and any dispute arising from a booking will be governed by the law of
Northern Ireland, subject to any mandatory legal protections that apply to the
client.
26.2 The courts of Northern Ireland will have jurisdiction to the extent
permitted by law. This clause does not deprive a consumer of any mandatory
right to bring proceedings in another court where applicable law allows.
